SEC regulates the markets & their job is to protect investors, so things like individuals or companies buying shares in another company (among A BUNCH of other things) will have to be filed with the SEC. FTC’s role is to protect consumers by enforcing antitrust law on companies. I’m most definitely oversimplifying it but that’s my brief description for you.

A new report says that Microsoft did not lie about the future exclusivity of ZeniMax games to the EU like the FTC had suggested yesterday.
The FTC claimed Microsoft misled the EU, it appears the FTC was wrong.
In its recent filing against Microsoft the FTC claimed that the company misled EU regulators over its earlier acquisition of ZeniMax. Now the EU is telling the publication MLex that the FTC’s complaint is wrong. The EU apparently never asked Microsoft to guarantee ZeniMax games be available on...

With what I've read so far, the merit of it does appear to be...questionable. The problem is that Phil Spencer has bungled this whole thing and he has been insincere, so who knows what other sort of dirt will come out--and that goes for Sony too. You had better believe MS is going to attempt to smear them as much as possible.
What's really hilarious is that this acquisition has a very real chance of making it all the way up to SCOTUS if MS loses the initial trial and then the appeal. That's crazy.

Yes and no. If the deal falls through and Sony, MS, EA, Amazon, etc --- all end up with pieces, seems like the end result would be much worse for consumers.
I don't want to make MS out to be the good guys here or the savior, because at the end of the day their goal is to make money and if that means cutting others out down the road, they will do that -- they are responsible to the shareholders and not to the consumers, and when those two things align is when everyone wins but its not often. But having said that, ABK is getting sold regardless, to someone, either in whole or in pieces, and I don't really see the alternative to MS buying them being a more friendly outcome.

Yes I know, just pointing that more mainstream websites have also picked this up. Which will prompt more info on this.
However I don't know, or expect, EU to make a formal press release any time soon.
They'll probably only reply to similar inquiries and those will similarly be not accepted because it's not in PDF or something I guess.

Not commitment. MS said it had no incentive to withhold games. And they did say that. Right here.
EU saying they didn't break any commitment is true, because they never made any commitment in the first place. And it does not invalidate FTC's argument (which never once mentioned commitment).
But MS did lie and misrepresented and misled, saying that they had no incentive and it would not make sense to make games exclusive until they hit certain numbers, etc. But made the games exclusive without hitting those numbers the very next day the acquisition closed.
Kloribille intentionally confusing "commitment" and "lying" is disingenuous. Both things are true at the same time.

I also find it interesting that that this sale pops up after Mike Ybarra, long time Microsoft employee who left for Blizzard, became president of Blizzard. Could just be a coincidence but given the complexity of some of the astroturfing Microsoft has gotten caught doing I keep thinking about it. After all people always suspected that Steven Elop left Microsoft and became CEO of Nokia in order to acquire them as well. Absolutely wild if there's even a tiny bit of truth to it.

Not going to happen. Sorry not sorry. The contract states that they will keep current games on competitors platforms, and keep those games available for purchase. They've kept to it. New IP is on a case by case basis. No way they put new Bethesda games on competing platforms.

I think most Microsoft fans just assumed there would be more ways to be successful in the industry. Clearly regulators disagree and feel that the way Sony does business is the way it should be allowed to be done. That is the most interesting part of this situation imo.

MS made them an initial offer, Activision refused it, *they* wanted to sell to fucking META (Facebook).
MS then made them a second offer which they accepted.
It's the "MS having shadow-bought Crystal Dynamics and have them only with Embracer by name only" category XD
