OK i've got two option's here to save money or to throw it out the door.

here's what i've gotten it down too:

PennySaver Upgrade:

Corsair 512mb PC3200 $77

Asus A7V8X-MX SE $56

AMD Athlon Xp 2500+ $87

EXTRA's
LiteOn 12x DVD-RW $74

XDreamer 2 $57

Total would be around somewhere around $400 bucks after Taxes and shipping.

Throwing money away Upgrade

2x Corsair 512mb Pc 3200 $157

AMD 64 3000+ $175

ASUS "K8V SE Deluxe" K8T800 $115

Which comes out to be around $480 after shipping and taxes.

I only have $500.29 bucks to spend in my account.

I have the following to reuse in this system:

ATI 9600Xt
Audigy Platinum
Sony 1.44mb Floppy
Toshiba 16x DVD-Rom
LiteOn 52x CD-RW

so what would you go for. I'm so confused i dont want to spend all my money now.

Well i'm not one to OC that much anyways. I know its sometimes great, but i need stability over speed right now. Especially since i leave my computer on for days at a time.

The mobile althon processors is stable at overclocked speed from what I heard from a lot of people. Keep in mind that mobile Athlon runs much cooler than desktop athlon.

Athy XP-M overclocking is a sure thing/done deal/easy as pie affair that even I would do without a second thought.

The beauty is that these babies are running at 266Mhz FSB, but multiplier is totally unlocked, and they are cream picked for low voltage/wattage, so it's guarenteed that they'd go from 1.8 to 2.2ghz just by mating it with PC3200 instead of the intended PC2100.

I would go with the Athlon 64. 64-bit processors are here to stay and an Athlon 64 is way more future-proof than the Athlon XP. It would probably save you an upgrade in the near future......
